CONSOLIDATED TEXT OF THE RULES AND REGULATIONS OF THE ORDINARY
ASSOCIATION “MEEST ASSOCIATION FOR AID TO UKRAINE” WITH ITS
REGISTERED OFFICE IN DĘBICA,
entered into the register of ordinary associations maintained by the district administrator (Starosta) of Dębica under number 20/2022
(adopted pursuant to the resolution of the General Meeting of the Members of the Association on amending the Rules and Regulations of the Association
dated 8 March 2022)
RULES AND REGULATIONS OF THE ORDINARY ASSOCIATION
MEEST ASSOCIATION FOR AID TO UKRAINE
1.1. The name of the Association is: MEEST Association for Aid to Ukraine (hereinafter: “the Association”).
1.2. The registered office of the Association is located in Dębica.
1.3. The Association operates in the Republic of Poland. The Association may also operate in other countries, including in particular Ukraine, in compliance with their laws.
1.4. The Association is a voluntary, self-governing, permanent non-profit alliance without legal personality.
1.5. The Association may, on its own behalf, acquire rights, including property and other real rights, incur liabilities, sue and be sued.
1.6. The activity of the Association is based on the unpaid work of its members.
1.7. The Association operates on the basis of these rules and regulations and the provisions of the Associations Law of 7 April 1989 (Journal of Laws of 2020, item 2261).
2.1. The goals of the Association are the following:
2.1.1. providing humanitarian aid to Ukraine;
2.1.2. providing humanitarian, financial and social aid to refugees from Ukraine.
2.2. The Association executes its goals by:
2.2.1. organizing the financing and purchase of humanitarian aid, including medical supplies, food, clothes and other necessities;
2.2.2. organizing transport of humanitarian aid from the territory of the Republic of Poland to the territory of Ukraine;
2.2.3. helping refugees from Ukraine find accommodation in the territory of the Republic of Poland;
2.2.4. helping refugees from Ukraine find employment in the territory of the Republic of Poland;
2.2.5. arranging the services of translators and psychologists for refugees from Ukraine;
2.2.6. providing assistance (including legal assistance) with the formalities required to legalize stay, obtain access to health care and social care for refugees from Ukraine;
2.2.7. helping with the education of children from Ukraine.
3.1. The Association has the following authorities:
3.1.1. The General Meeting of Members;
3.1.2. The Management Board.
The General Meeting of Members
3.2. The highest authority of the Association is the General Meeting of Members, which comprises all members of the Association.
3.3. The General Meeting of Members is competent to make decisions in all affairs of the Association other than those that are reserved for the Management Board.
3.4. The General Meeting of Members is convened by the Management Board on its own initiative or at the request of at least 1/3 of the members of the Association.
3.5. In the first vote, the resolutions of the General Meeting of Members are passed by an ordinary majority of the votes in the presence of at least half of the members with the right to vote. In the second vote (which may take place on the same day, not earlier than 120 minutes after the first vote) the number of members of the Association present is not taken into account.
3.6. The competences of the General Meeting of Members include:
3.6.1.electing and dismissing members of the Management Board of the Association (with the reservation that a Management Board member may be elected or dismissed by a circular resolution passed in writing without holding a General Meeting of Members);
3.6.2. adopting and amending the Rules and Regulations;
3.6.3. passing a resolution on dissolving the Association;
3.6.4. determining the amount of the membership fee;
3.6.5. accepting and removing the members of the Association;
3.6.6. controlling the actions of the Management Board.
The Management Board
3.7. [The composition of the Management Board] The Management Board consists of one to five members.
3.8. [Appointing and dismissing Management Board members]
3.8.1. The members of the Management Board are appointed and dismissed by resolution of the Members of the Association. A resolution on appointing members of the Management Board may be passed:
3.8.1.1. at the General Meeting, or
3.8.1.2. by circular resolution passed in writing.
3.8.2. Appointing a Management Board member requires a majority of 3/4 of the votes “for” cast in the presence of at least half of the Members of the Association.
3.8.3. Dismissing a Management Board member requires a majority of 3/4 of the votes “for” cast in the presence of at least half of the Members of the Association.
3.9. The term of office of a Management Board member is 5 years.
3.10. A Management Board member's mandate expires at the end of his/her term, upon his/her dismissal from the Management Board, death or resignation.
3.11. [Competences of the Management Board] The competences and duties of the Management Board include:
3.11.1. representing the Association in the relations with third parties and acting on its behalf;
3.11.2. executing the resolutions of the General Meeting of Members;
3.11.3. managing day-to-day operations of the Association;
3.11.4. managing the funds of the Association in compliance with the applicable laws, these Rules and Regulations and the resolutions of the General Meeting of Members;
3.11.5. informing the supervisory body of any events that require entry in the register of ordinary associations (within 7 days of the occurrence of the event) and of a change of the place of residence.
3.12. [The manner of representation] Each Management Board member may make a statement of will on behalf of the Association independently.
3.13. [Activities exceeding the scope of ordinary management] Any activities of the Management Board that exceed the scope of ordinary management require the prior consent of the Members of the ordinary Association who should grant a power of attorney for the performance of such activities. Such consent and power of attorney are granted in the same manner as the Management Board members are appointed, i.e. by resolution, which may be passed:
3.13.1. at the General Meeting; or
3.13.2. by circular resolution passed in writing.
Granting such consent and power of attorney requires a majority of 3/4 of the votes “for” cast in the presence of at least half of the Members of the Association.
3.14. The activities exceeding the scope of ordinary management include in particular:
3.14.1. buying and selling of real estate or the right of perpetual usufruct;
3.14.2. establishing a limited property right;
3.14.3. concluding a loan agreement;
3.14.4. assumption of debt, recognition of debt, release from debt, accession to debt, concluding a warranty agreement or concluding a similar agreement;
3.14.5. incurring other liabilities exceeding PLN 10,000;
3.14.6. making a donation or another disposal of property without payment.
4.1. A member of the Association must be an individual who is a citizen of Poland (or a foreigner with residence in Poland) of full legal capacity and has submitted a written declaration to the Management Board of joining the Association and accepting its Rules and Regulations. A resolution on granting membership is passed by the General Meeting of Members by a majority of 3/4 of the votes “for” cast in the presence of at least half of the members of the Association.
4.2. Membership in the Association terminates as a result of:
4.2.1. removing the member by the General Meeting of Members;
4.2.2. A written resignation submitted to the Management Board of the Association;
4.2.3. disfranchisement by a final court decision;
4.2.4. death of the member.
4.3. The members of the Association shall have the right to:
4.3.1. take part in and vote at the General Meeting of Members;
4.3.2. use the property, funds and all forms of activity of the Association,
4.3.3. make proposals concerning the activity of the Association.
4.4. The obligations of members of the Association include:
4.4.1. observing the Rules and Regulations of the Association,
4.4.2. paying the membership fees in a timely manner,
4.4.3. supporting and executing the goals of the Association.
5.1. The ordinary Association obtains funds for its activities from membership fees, donations, inheritance, bequests, income from the Association's property and public fund raising.
5.2. The funds of the Association are managed by the Management Board in compliance with the applicable laws, these Rules and Regulations and the resolutions of the General Meeting of Members;
5.3. Each member is liable for the liabilities of an ordinary association without limitation, jointly and severally with the other members and the association. Such liability arises when the execution from property of the ordinary association proves ineffective.
5.4. The Association must not:
5.4.1. establish local organizational units;
5.4.2. accept legal persons as members;
5.4.3. conduct business activity;
5.4.4. conduct paid activity of a public benefit organization.
6.1. The Association shall be dissolved by written resolution of the General Meeting of Members.
6.2. Upon passing a resolution on dissolving the Association, the General Meeting of Members shall appoint a liquidator and distribute the remaining assets of the Association.
7.1. In matters not regulated by these rules and regulations, the provisions of the Associations Law of 7 April 1989 (Journal of Laws of 2020, item 2261) shall apply.
